Project Holdings will end its benefit if a tender offer succeeds; Tobila Systems confirms its program continues

Project Holdings, which has agreed to a tender offer aimed at taking it private, says its points benefit will end if the deal completes. Tobila Systems confirmed it will keep giving holders a year of its anti-fraud app.

Two companies filed benefit notices on September 28. One concerned a program that will end because the company is likely to leave the market. The other confirmed a program will carry on.

Shareholder benefits, known in Japan as kabunushi yutai , are voluntary perks that listed companies give their holders, usually products, vouchers or discounts on the company's own services. They are set by each company's board and are separate from dividends.

TSE Growth · 9246 · DX and AI consulting · Filed September 28

Project Holdings gave holders of 300 shares or more points in an external benefit club twice a year, up to 40,000 points at 1,500 shares. The same day, its board expressed support for a tender offer that aims to make the company a wholly owned subsidiary of a staffing group backed by a private equity fund and delist it. The company said it will abolish the benefit program on condition that the tender offer succeeds, with the March 2026 cycle as the last one provided.

Tobila Systems introduced its benefit in 2025: one year of free use of its Tobila Phone Mobile app, which filters fraud calls and messages and normally costs ¥2,400 a year, for holders of 100 shares or more. The company has confirmed the benefit will continue for the October 2026 cycle with no change in content. Codes are mailed to holders from mid-January 2027.

Context

Takeovers are one of the most common reasons Japanese benefit programs end. When a company is taken private, there is no longer a public holder base to reward, and the program is usually abolished on condition that the tender offer succeeds. Project Holdings follows that pattern.

Tobila Systems is the opposite case. Its benefit is its own product, a fraud-filtering app, which makes holders into users. A continuation notice is unusual, but it gives holders certainty that a newer program is staying.

Yutai's view

Programs tied to a company's own product are the clearest example of what benefits are for: they turn holders into customers. When a company leaves the market, the program ends with it. That is a reason to make benefits easy to deliver and easy to keep running while a company is public, not a reason to avoid them.
